These Terms of Use ("Terms") govern your access to and use of the DealersLoop platform, website, mobile applications, software, APIs, communications, and related services (collectively, the "Platform") operated by DealersLoop, LLC ("DealersLoop," "we," "our," or "us").
By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you may not use the Platform.
1. Eligibility
DealersLoop is a business-to-business platform intended exclusively for:
- Licensed automobile dealerships
- Marine dealerships
- Powersports dealerships
- Commercial vehicle dealerships
- Automotive vendors and service providers approved by DealersLoop
- Individuals authorized to act on behalf of an approved business
You represent that:
- You are at least 18 years old;
- You possess authority to bind the business you represent;
- All information submitted is accurate and current.
2. Account Registration
Users must create an account to access certain Platform features.
You agree to:
- Provide truthful information
- Maintain accurate account details
- Keep login credentials secure
- Notify DealersLoop immediately of unauthorized account access
You are responsible for all activity occurring under your account.
3. Platform Services
DealersLoop provides a digital ecosystem that may include:
- Dealer networking
- Inventory exchange
- Marketplace services
- Business referrals
- Professional hiring and recruiting
- Messaging
- Events
- Educational resources
- AI-powered tools
- Vendor discovery
- Community discussions
- Analytics
- Additional services introduced over time
DealersLoop may modify, suspend, or discontinue any feature without prior notice.
4. Dealer Verification
DealersLoop reserves the right to verify:
- Dealer licensing
- Business registration
- Franchise affiliation
- Employment status
- Identity
- Ownership
Accounts may be suspended or terminated if verification cannot be completed.
5. Acceptable Use
You agree not to:
- Violate any law
- Misrepresent your identity
- Provide false inventory information
- Harass other users
- Upload malicious software
- Circumvent security measures
- Attempt unauthorized access
- Collect user information without consent
- Spam or solicit users outside permitted Platform functions
- Infringe intellectual property rights
- Engage in deceptive or fraudulent conduct
6. User Content
Users retain ownership of content they upload, including:
- Inventory
- Photos
- Videos
- Documents
- Messages
- Comments
- Reviews
- Job postings
By submitting content, you grant DealersLoop a worldwide, non-exclusive, royalty-free license to:
- Host
- Store
- Display
- Reproduce
- Distribute
- Improve Platform functionality
- Promote the Platform
You represent that you own or have permission to upload all submitted content.
7. Dealer Transactions
DealersLoop facilitates communication between dealers but is not a party to transactions conducted through the Platform.
DealersLoop:
- Does not own listed inventory
- Does not guarantee inventory accuracy
- Does not guarantee pricing
- Does not guarantee payment
- Does not guarantee title status
- Does not inspect vehicles
- Does not guarantee transaction completion
Users assume all risks associated with buying, selling, or trading inventory.
8. Marketplace Conduct
Users agree to:
- Act honestly
- Honor commitments
- Communicate professionally
- Resolve disputes directly
DealersLoop may investigate complaints and suspend accounts engaged in abusive conduct.
9. AI-Powered Features
The Platform may include artificial intelligence tools.
AI-generated content:
- May contain inaccuracies
- Is informational only
- Does not constitute legal, financial, compliance, tax, or business advice
Users are solely responsible for verifying AI-generated outputs before relying upon them.
DealersLoop makes no warranties regarding AI-generated recommendations.
10. Educational Content
Educational materials are provided for informational purposes only.
Nothing on the Platform constitutes:
- Legal advice
- Accounting advice
- Financial advice
- Tax advice
- Regulatory guidance
Professional advisors should be consulted where appropriate.
11. Privacy
Your use of the Platform is governed by the DealersLoop Privacy Policy.
By using the Platform, you consent to the collection and processing of information as described in the Privacy Policy.
12. Subscription Services
Certain features require paid subscriptions.
Subscription fees:
- Are billed in advance
- Are generally non-refundable unless required by law
- Automatically renew unless cancelled
Failure to pay may result in suspension or termination.
13. Payment Processing

DealersLoop is not responsible for payment processor errors, delays, or interruptions.

The Platform and its contents are owned by DealersLoop or its licensors.
This includes:

- Branding
- Graphics
- Databases
- Design
- Source code
- User interface
- Documentation
No rights are granted except those expressly stated in these Terms.
15. Confidential Information
Users may access confidential business information.
You agree not to disclose confidential information obtained through the Platform without authorization.
16. Data Security
DealersLoop employs commercially reasonable security measures.
However, no internet-based service can guarantee complete security.
Users acknowledge and accept this inherent risk.
17. Third-Party Services
The Platform may integrate with third-party software.
DealersLoop is not responsible for:
- Third-party websites
- External applications
- Third-party services
- Their privacy practices
- Their security
Use of third-party services is at your own risk.
18. Communications
By registering, you consent to receive:
- Service notifications
- Account updates
- Security alerts
- Product announcements
- Administrative communications
Marketing communications may be opted out of where permitted.
19. Suspension
DealersLoop may suspend accounts for:
- Fraud
- Abuse
- Security threats
- Violation of these Terms
- Non-payment
- Regulatory concerns
Suspension may occur without prior notice.
20. Termination
DealersLoop may terminate access at its sole discretion.
Users may terminate their accounts at any time.
Certain provisions survive termination, including:

21. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
DEALERSLOOP DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- CONTINUOUS AVAILABILITY
- ERROR-FREE OPERATION
- ACCURACY OF CONTENT
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALERSLOOP SHALL NOT BE LIABLE FOR:
- LOST PROFITS
- LOST DATA
- BUSINESS INTERRUPTION
- LOST OPPORTUNITIES
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- CONSEQUENTIAL DAMAGES
- PUNITIVE DAMAGES
IN NO EVENT SHALL DEALERSLOOP'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
23. Indemnification
You agree to defend, indemnify, and hold harmless DealersLoop and its officers, directors, employees, affiliates, contractors, and partners from any claims, damages, liabilities, costs, or expenses arising from:
- Your use of the Platform;
- Your violation of these Terms;
- Your infringement of any third-party rights; or
- Your unlawful or negligent conduct.
24. Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
25. Dispute Resolution
Before initiating litigation, the parties agree to attempt good-faith negotiation.
Any unresolved dispute shall be submitted to binding arbitration in Duval County, Florida, unless otherwise required by law.
Each party waives the right to a jury trial.
26. Class Action Waiver
Users agree that claims shall be brought only in an individual capacity and not as a plaintiff or class member in any class or representative action.
27. Force Majeure
DealersLoop shall not be liable for delays or failures caused by events beyond its reasonable control, including:
- Natural disasters
- Cyberattacks
- Internet outages
- Government actions
- Labor disputes
- Acts of war
- Pandemics
28. Changes to These Terms
DealersLoop may update these Terms at any time.
Material changes will be communicated through the Platform or by email.
Continued use of the Platform constitutes acceptance of revised Terms.
29. Severability
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
30. Entire Agreement
These Terms, together with the Privacy Policy and any applicable subscription or service agreements, constitute the entire agreement between DealersLoop and the user concerning the Platform.
